General Terms and Conditions of Sale (GTCS)

1. Purpose

These GTCS govern the sale of subscriptions to the Swiss Crisis application (the "Service") by CREATIS Informatique (the "publisher") to companies or legal entities (the "Client"). Any subscription implies unconditional acceptance of these terms.

2. Description of the Service

Swiss Crisis is a standard mobile and web application, customizable through configuration (creation of situations, phases, actions, contacts, documents). The Service does not include any custom development.

An optional connector allowing automated synchronization with the Client's IT infrastructure (SharePoint, M-Files, ERP, etc.) may be provided under a separate quote, billed once, and is not part of the subscription.

3. Pricing and billing

Prices are indicated excluding VAT. Two plans are offered:

Essential: CHF 249 / month or CHF 2,490 / year
Continuity: CHF 349 / month or CHF 3,490 / year

Prices apply to one company (unlimited number of users within the limits of the selected plan).

The publisher may change prices at any time. Any modification will be notified to the Client in writing (email) at least 30 days before the next subscription renewal. The Client may then cancel without fees until the new prices take effect.

4. Free trial

A 30-day free trial is offered, without requiring a credit card. At the end of the trial, if the Client does not cancel, the subscription automatically switches to the selected plan, billed monthly or annually.

5. Payment and payment default

Invoices are payable upon receipt. In the event of non-payment by the due date, the publisher may suspend access to the Service after formal notice has remained unsuccessful. Collection costs are borne by the Client.

6. Term and termination

The subscription is entered into for one month or one year and is automatically renewable. The Client may cancel at any time, effective at the end of the current period. No partial refund is due.

7. Survival clause

Clauses relating to liability, intellectual property, data protection, and confidentiality survive the termination or expiration of this agreement.

8. Liability and warranties

The Service is provided "as is" (AS IS), without any warranty of continuous availability, error-free operation, or fitness for a particular purpose. The publisher does not guarantee that the application will operate without interruption or data loss in a crisis situation (network outage, cyberattack, natural disaster).

The Client is solely responsible for the accuracy, updating, and use of the data it enters.

To the fullest extent permitted by law, the publisher's total liability, all causes combined, is limited to the amount actually paid by the Client during the twelve (12) months preceding the loss event.

Indirect damages are excluded from compensation, including, without limitation, loss of revenue, data loss, business interruption, loss of customers, reputational damage, or any commercial harm.

9. Extended force majeure

The publisher shall not be held liable for any delay or non-performance resulting from force majeure, including, without limitation, failures of public or private networks, cyberattacks, failures of third-party service providers (hosting, cloud, telecommunications), natural disasters, strikes, or any governmental decision.

10. Entire agreement clause

These general terms constitute the entire agreement between the parties. They replace and supersede all prior communications, proposals, or agreements, whether written or oral, related to the subject matter of this agreement.

11. Non-waiver clause (Waiver)

If either party does not invoke a clause of this agreement, this shall not constitute a waiver of that clause or of its right to invoke it later.

12. Governing law and jurisdiction

These terms are governed by Swiss law, excluding the Vienna Convention (CISG). The exclusive jurisdiction is at the registered office of CREATIS Informatique in Morges.
